摘要： 股东的出资是公司资本充实的前提,它关系着公司设立的成败,间接影响着广大公司外部债权人的利益;同时,也是维护公司良好经营、保障市场经济平稳的重要手段。本文将以陕西秦龙乳业集团有限公司（简称“陕西秦龙”）为例,分析陕西秦龙与文武及西安博康兴业食用化工有限公司之间相关案件纠纷,探讨我国股东出资加速到期制度的建设情况,对其现状进行分析,并提出相关建议,如建立合理的股东出资催缴制度,赋予董事会权利根据公司的实际情况决定股东出资的时间,从而更好地维护债权人合法利益,旨在为陕西秦龙此类债权人求偿途径提供参考。

Abstract: Shareholders'capital contribution is a prerequisite for the capital enrichment of a company,which is related to the success or failure of the establishment of the company and indirectly affects the interests of the external creditors of the company at large.At the same time, it is also an important means to maintain the good operation of the company and guarantee the smoothness of the market economy. This paper took Shaanxi Qinlong Dairy Group Co.,Ltd.,as an example to analyze the relevant case dispute between Shaanxi Qinlong Dairy Group Co.,Ltd.,and Wen Wu and Xi'an Pokang Xingye Edible Chemical Co.,Ltd.,discussed the construction of the accelerated expiry system of shareholders' capital contribution in China,analyzed its current situation and put forward relevant suggestions,such as establishing a reasonable system of calls on shareholders' contributions and giving the board of directors the right to decide on the timing of shareholders' contributions in the light of the actual situation of the company,so as to better safeguard the legitimate interests of creditors,aiming to provide reference for such creditor claiming channels of Shaanxi Qinlong Dairy Group Co.,Ltd..
